Please read these Terms of Use ("Terms") carefully. These Terms govern your access to and use of the website operated by Waypoint Vacations LLC ("We," "Us," or "Our"), including any content, functionality, and services offered on or through the website (collectively, the "Website" or "Services").



1. Acceptance and Definitions


1.1. Acceptance of Terms. By accessing or using the Website, including browsing content, submitting a booking request, or providing personal information, you ("You" or the "Client") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Website.


1.2. Privacy Policy Reference. Our separate Privacy Policy is an integral part of these Terms and is incorporated herein by reference. By agreeing to these Terms, you consent to our data practices as described in the Privacy Policy.


1.3. Definitions.

  • "Client" or "You" refers to the user accessing the Website or purchasing travel services.
  • "We," "Us," or "Our" refers to Waypoint Vacations LLC.
  • "Suppliers" refers to third-party providers of travel services, including, but not limited to, airlines, hotels, cruise lines, and tour operators.




2. Our Role and Scope of Service


2.1. Role as Agent. Waypoint Vacations LLC operates this Website solely to provide information and to facilitate the booking of travel services as an independent agent or intermediary for third-party Suppliers. We are not a direct supplier, co-vendor, or co-party to the contracts you enter into with Suppliers.


2.2. Disclaimer of Supplier Liability. The Website and its Services are provided on the basis that We are not liable for the acts, errors, omissions, representations, warranties, breaches, negligence, personal injuries, property damage, death, or any other damages or expenses resulting from the failure, cancellation, overbooking, or bankruptcy of any Supplier. Your sole recourse for issues related to the travel services themselves (e.g., delayed flights, unsatisfactory hotel stays) is against the relevant Supplier.


2.3. No Guarantees. All prices, availability data, and itinerary details displayed on the Website are subject to change by the Suppliers without notice. We cannot guarantee these details until the booking is fully confirmed and ticketed by the Supplier.


2.4. Service Fees. The Client acknowledges that Waypoint Vacations LLC may charge non-refundable service fees (e.g., consultation, planning, booking, or cancellation fees) separate from the fares and charges imposed by Suppliers.




3. Client Responsibilities and Prohibited Uses


3.1. Accuracy of Personal Information. When submitting booking forms or communications via the Website, the Client is solely responsible for ensuring the accuracy of all Personal Identifiable Information (PII), including correct legal names (matching travel documents), birth dates, and contact details for all travelers. Inaccurate information may result in denied travel or financial penalties.


3.2. Review of Documents. The Client is responsible for immediately reviewing all itineraries, invoices, and booking confirmations received from Us for accuracy and reporting any discrepancies within 24 hours of receipt.


3.3. Travel Documentation. The Client is responsible for ensuring all travelers possess valid passports (often required to be valid 6 months past the return date), visas, and all other necessary entry/exit documentation for the intended destinations.


3.4. Travel Insurance. We strongly recommend that the Client purchase comprehensive travel insurance. By using the Services and declining insurance, the Client assumes all associated financial risks.


3.5. Prohibited Uses. You agree not to use the Website:

  • For any unlawful or fraudulent purpose.
  • To submit speculative or false booking requests.
  • To "scrape," hack, modify, or interfere with the operation or content of the Website.
  • To use any content on the Website for commercial purposes without our express written permission.




4. Data and Payments Authorization


4.1. Credit Card Authorization. By providing a credit card via the Website, payment link, authorization link, or verbally, the Client authorizes Us to use that card to pay for the travel services and our service fees. You also authorize us to share the necessary payment details with relevant Suppliers to complete the transaction.


4.2. Consent to Data Sharing. By using the Website to book travel, you consent to Us collecting, using, and sharing your PII with Suppliers, Global Distribution Systems (GDS), and government entities (e.g., TSA) as necessary to process and fulfill your travel arrangements, in accordance with the Privacy Policy.




5. Legal Protections and Dispute Resolution


5.1. Disclaimer of Warranties. The Website and Services are provided "as-is" and "as available" without warranties of any kind, whether express or implied, including the warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Website will be uninterrupted or error-free.


5.2. Limitation of Liability. To the maximum extent permitted by law, Waypoint Vacations LLC shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages under contract, tort, or other claim of liability, even if we become aware of the possibility of such damages, arising from your use of the Website or any services booked through Us. If, notwithstanding the foregoing, We are found liable for any loss or damage, our maximum liability shall be strictly limited to the amount of the non-refundable service fees paid to Us by the Client for the specific Trip in dispute.


5.3. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-laws principles of any jurisdiction.


5.4. Dispute Resolution.  If any dispute arises under these Terms, the Parties will use all reasonable efforts to resolve the dispute through informal direct communications.


5.5. Courts. If the Parties are unable to resolve a dispute through informal direct communications within 60 days following a Party’s notice of dispute sent to the other Party, any claim arising from these Terms will be resolved exclusively by the state or federal courts located in Duval County, Florida, which neither Party will challenge based on forum non conveniens or similar doctrine. Neither Party will bring any legal action against the other Party as any part of a class, group, representative, or private attorney general action.




6. Intellectual Property and Legal Notices


6.1. Intellectual Property. All content on the Website, including the Waypoint Vacations LLC name, logo, text, graphics, and design, is the exclusive property of Waypoint Vacations LLC or its licensors and is protected by copyright and other intellectual property laws.


6.2. Florida, California, and Washington Seller of Travel Notice. Waypoint Vacations LLC is an independent agency authorized to operate under WorldVia Travel Network, a registered Seller or Travel on whose behalf we are acting. Information for WorldVia is as follows:
